These are the terms under which Lucin Solutions LLC ("Lucin Solutions", "we", "us") makes Aethel available to you ("you", "the user"). By installing, launching, or using Aethel, you accept these Terms. If you don't accept them, don't use Aethel and request a refund per Section 12.
These Terms work together with the Privacy Policy and the End-User License Agreement (EULA). The Privacy Policy explains data; the EULA explains software licensing; these Terms explain the service relationship and acceptable use.
1. What Aethel is, and what it isn't
Aethel is desktop software that orchestrates artificial-intelligence engines (such as Anthropic Claude, OpenAI Codex, Google Gemini) and helper tools (calendar, email, web search, browser automation, etc.) to perform tasks on your behalf, on your own computer.
Aethel is not an AI engine itself. It does not generate text or images. It does not provide AI compute. It calls third-party engines you have separately authenticated with under your own provider account ("Bring Your Own Subscription" or "BYOK").
Aethel is not a hosted service. We do not store your data on Lucin Solutions servers, and we do not run any server that intermediates between you and the AI engines you've connected. The app runs entirely on your computer.
2. Eligibility
You must be at least 13 years old (or the minimum age required in your country, e.g. 16 in some EU member states) to use Aethel. If you're between that age and your country's age of majority, you may use Aethel only with the consent of a parent or legal guardian.
If you're using Aethel on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. License grant
Subject to your compliance with these Terms and the EULA, Lucin Solutions grants you a personal, non-exclusive, non-transferable, revocable license to install and use Aethel on the number of devices specified by your license tier, for as long as your license is active.
The full license terms — including how many devices, how long the license lasts, and what happens when it expires — are in the EULA.
4. Bring Your Own Subscription (BYOK)
Aethel relies on third-party AI engines and services that you connect to it. You are responsible for:
- Maintaining your own active subscription with each AI provider you use through Aethel (Claude, Codex, Gemini).
- Complying with each provider's terms of service and acceptable-use policy. In particular, providers like Anthropic restrict how their CLIs and SDKs can be invoked from automation; running the official CLI as a subprocess (which Aethel does) is generally allowed, but you remain responsible for your own compliance.
- Paying any usage fees billed by those providers. Lucin Solutions does not charge per-token fees; AI inference costs go to the AI provider on your subscription. We are not a party to your contract with them.
- Keeping the credentials and API keys you give to Aethel safe. Aethel stores credentials only on your local device.
If a third-party provider revokes your access, blocks your account, or changes their terms in a way that limits Aethel's functionality, that is not a refund condition for your Aethel license — your license pays for the orchestration software, not the third-party services it connects to. We will work to maintain compatibility, but we cannot guarantee uninterrupted access to providers we don't control.
5. Acceptable use
You agree not to use Aethel:
- For any unlawful purpose.
- To send spam, phishing messages, or other unsolicited communication (including via the Telegram bot integration).
- To impersonate another person or entity, or to misrepresent your identity.
- To generate or distribute material that depicts child sexual abuse, violent extremism, or other content prohibited by law or by the underlying AI provider's policies.
- To circumvent license validation, license tiers, anti-abuse mechanisms, or feature gates.
- To operate Aethel as a service for third parties — e.g., reselling Aethel's output as a hosted SaaS to people who don't have their own Aethel licenses. (This is also covered in the EULA.)
- To extract, scrape, or harvest data from third parties via Aethel in violation of their robots.txt, terms of service, or applicable law.
- In connection with critical infrastructure (medical, transportation, nuclear, weapons systems) where a software malfunction could cause injury or death. Aethel is general-purpose productivity software, not safety-critical software.
We may suspend or terminate your license for material breach of this section. We'll usually warn you first; we won't if the breach is egregious or unlawful.
6. Third-party services and content
Aethel calls many third-party services on your behalf. Their content, availability, and behavior are not under our control. When the AI fetches a web page, sends an email through your Gmail, or replies to a Telegram message, the legal effect is the same as if you did it yourself — Aethel is acting under your direction.
We're not responsible for what those third parties do with your data once it's been sent to them at your direction. Read their terms.
7. Updates and changes
We may release software updates that fix bugs, add features, change features, or remove features. Some changes will be necessary to track upstream changes from AI providers (e.g., a CLI deprecation). You're not required to install updates, but using outdated versions may break integrations or expose you to security issues.
We may change these Terms (including the EULA and Privacy Policy). For material changes, we'll bump the "Last updated" date and surface a notice in the app on next launch. Continued use after a change means you accept the new terms; if you don't, you may stop using Aethel and request a refund within the refund window in Section 12.
8. Intellectual property
Aethel — including the source code, binaries, name, logo, "Command Beam" identity, brand assets, and documentation — is the property of Lucin Solutions LLC. The license granted in Section 3 does not transfer ownership of any intellectual property to you.
You retain all rights to the content you create with Aethel: your prompts, your tasks, your generated artifacts. We claim no ownership or license over your content.
9. Feedback
If you send us product feedback, feature requests, or bug reports, you grant us a perpetual, royalty-free, irrevocable license to use that feedback to improve Aethel. We won't identify you publicly without your consent.
10. Warranty disclaimer
Aethel is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the software will be uninterrupted, error-free, or secure.
AI engines connected to Aethel can be confidently wrong. Aethel can take real-world actions on your behalf (send emails, create calendar events, post to Telegram, run shell commands, click in your browser). You are responsible for reviewing actions before they happen when the consequences are material. We've designed safeguards (admin approval flow, license-based feature gates, scope limits on tools) but no safeguard is perfect.
To the maximum extent permitted by law, Lucin Solutions disclaims all liability for damages caused by AI-generated outputs, AI-driven actions, or third-party service behavior.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Lucin Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from your use of Aethel.
Lucin Solutions's total cumulative liability for any claim arising from these Terms, the Privacy Policy, the EULA, or your use of Aethel will not exceed the amount you paid Lucin Solutions for your Aethel license in the twelve (12) months preceding the claim.
Some jurisdictions don't allow the exclusion or limitation of certain warranties or liabilities, so parts of this section may not apply to you. Where required by law, you retain your statutory rights.
12. Refunds and cancellation
Lucin Solutions offers a 14-day refund window from the date of original purchase, provided you have not materially used Aethel beyond evaluation. To request a refund, email support@tryaethel.com with your order number.
For users in the European Union, the 14-day right of withdrawal under Directive 2011/83/EU applies, with the standard exceptions. By launching the app and accepting these Terms, you may waive your right of withdrawal under Article 16(m) (digital content); however, we honour the 14-day window above regardless.
You can deactivate your license and stop using Aethel at any time without notice.
Refunds for renewal subscriptions (if Aethel ever offers them) follow the same window measured from each renewal date.
13. Termination
We may suspend or terminate your license if:
- You materially breach these Terms or the EULA.
- Your payment is reversed, charged back, or otherwise reversed by Lemon Squeezy.
- A law or regulation requires us to.
- We discontinue Aethel — in which case we'll give you at least 60 days' notice and pro-rate any unused subscription period (if any) by refund.
You may terminate your license at any time by uninstalling Aethel. Termination by either side does not waive any obligation that, by its nature, survives — including IP, warranty disclaimer, liability cap, governing law.
14. Governing law and disputes
These Terms are governed by the laws of the State of [STATE] in the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
For users in the United States, you and Lucin Solutions agree to resolve disputes in the state or federal courts located in [COUNTY, STATE], and you waive any objection to that venue.
For users in the European Union, the United Kingdom, or other jurisdictions where mandatory consumer-protection law grants you the right to bring disputes in the courts of your residence, those rights are preserved.
We're a small company. If you have a problem, please email us first at support@tryaethel.com — almost everything resolves in the first email.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and EULA, are the entire agreement between you and Lucin Solutions about Aethel and supersede prior agreements.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or acquisition, on the same material terms.
- Severability. If any part of these Terms is held unenforceable, the rest remains in force.
- No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Notices. We send notices to you via the app or to the email address associated with your Lemon Squeezy purchase. You can reach us at support@tryaethel.com.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (acts of God, war, internet outage, third-party API outage, etc.).
