End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is between Lucin Solutions LLC ("Lucin Solutions") and the individual or entity that purchased a license to Aethel ("you"). It governs your use of the Aethel desktop application and the brand assets bundled with it (collectively, the "Software").
This EULA works alongside the Aethel Terms of Use and Privacy Policy. When in conflict on a software-licensing point, this EULA controls.
By installing or using the Software, you accept this EULA. If you don't accept it, don't install or use the Software, and request a refund per the Terms of Use.
1. License grant
Subject to your compliance with this EULA and the Terms of Use, and to your payment of any applicable license fee, Lucin Solutions grants you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Install and use the Software on the number of devices specified by your license tier.
- Use the Software for your own personal or internal-business purposes.
- Make a reasonable number of backup copies for archival purposes.
This is a license, not a sale. You don't own the Software; you own your activated license.
2. License tiers and activation
Your license tier (and the device count it permits) is established at purchase via Lemon Squeezy. The current tiers as of the "Last updated" date above are:
- Trial — time-limited evaluation, single device.
- Solo — one license, up to two devices owned and used by you.
- Family / Team — multi-device license with the device count specified at purchase.
Aethel validates your license against Lemon Squeezy on a periodic basis. A license cache lets the app continue to work for a short grace period during transient network or license-server outages. Persistent failure to validate (typically beyond a few days) will lock the app until validation succeeds.
You may deactivate a device through the in-app Settings or by emailing support@tryaethel.com. Deactivating frees up a device slot so you can activate elsewhere.
3. Restrictions
You may not, and you may not permit anyone else to:
- Copy, redistribute, sublicense, sell, rent, lease, lend, or otherwise transfer the Software or your license key to any third party (except: a free transfer of your single-user license to a successor device of yours, which is fine).
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where such activity is expressly permitted by applicable law (e.g., to achieve interoperability under EU Directive 2009/24/EC) and only after giving us reasonable advance notice.
- Modify, adapt, translate, or create derivative works of the Software's binaries.
- Remove, obscure, or alter any copyright notice, trademark, attribution, license-validation code, or proprietary marking in the Software.
- Bypass, circumvent, or tamper with license validation, anti-tamper protections, feature gates, or rate limits in the Software.
- Use the Software to operate a service for third parties (a "service bureau") — i.e. running Aethel and selling its output as a hosted product to users who do not themselves have Aethel licenses.
- Use the Software in violation of the Terms of Use acceptable-use policy.
- Use the Software to develop, train, or improve any product or service that competes with Aethel.
4. Software updates
Lucin Solutions may issue updates to the Software at its discretion. Updates may:
- Add, change, or remove features.
- Fix bugs and security issues.
- Update third-party dependencies (which may themselves change features or limits).
- Update the licensing or anti-abuse mechanism, including the license-cache format.
You're not contractually required to install updates. However:
- Some integrations may stop working without an update (e.g., when an upstream AI CLI ships a breaking change).
- We may decline to support older versions after a reasonable deprecation window.
- Security updates are strongly recommended.
5. Brand assets and trademarks
The names "Aethel", "Lucin Solutions", "Command Beam", the Aethel logo, the Aethel app icon, and any other trademark or trade dress included with the Software are owned by Lucin Solutions and are not licensed to you under this EULA. You may not use them in your own products, services, or marketing without prior written permission from Lucin Solutions, except for fair-use references such as reviews and reporting.
The Software bundles brand assets created by Lucin Solutions LLC's in-house design team. These assets are licensed to Lucin Solutions LLC and are part of the Software for the purposes of this EULA.
6. Open-source components
The Software incorporates open-source components, each governed by its own license. A list of those components and their licenses is included in the Software's THIRD_PARTY_NOTICES.md (or equivalent file) shipped with each release. Nothing in this EULA limits your rights under those open-source licenses with respect to the open-source components.
7. Ownership
The Software, including all updates, derivative works, and the intellectual property rights therein, is and remains the exclusive property of Lucin Solutions and its licensors. Except for the license expressly granted in Section 1, no rights are granted to you, by implication, estoppel, or otherwise.
8. Termination
This EULA is effective until terminated. It will terminate automatically and without notice if you breach any of its terms. Lucin Solutions may also terminate this EULA per the Termination provisions in the Terms of Use.
Upon termination, you must stop using the Software and uninstall it. The license-cache will eventually expire and the Software will lock itself even if you don't uninstall.
Sections 3 (Restrictions), 5 (Brand assets), 7 (Ownership), 8 (Termination), 9 (Warranty disclaimer), 10 (Liability), 11 (Export and sanctions), and 13 (Miscellaneous) survive termination.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR ABSENCE OF DEFECTS. LUCIN DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS.
In particular, AI-generated outputs may be incorrect, fabricated, biased, or harmful, and Aethel may take real-world actions on your behalf based on those outputs. You are responsible for reviewing material actions before they happen.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you in full. Where required by law, you retain your statutory rights.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCIN AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE — EVEN IF LUCIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LUCIN'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID LUCIN FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This limitation applies regardless of the legal theory of liability (contract, tort, statute, or otherwise) and even if a remedy fails of its essential purpose.
11. Export, sanctions, and US Government rights
You may not use, export, re-export, or transfer the Software in violation of US export-control laws, including the Export Administration Regulations and sanctions programs administered by OFAC. You represent that you are not located in, under the control of, or a national of a country embargoed by the US government, and that you are not on any US-government restricted-party list.
The Software is "Commercial Computer Software" within the meaning of FAR 12.212 / DFARS 227.7202. If you are a US Government entity, your use is subject to the standard commercial license rights and restrictions in this EULA.
12. Refund policy
Refunds for the license fee are governed by the Refunds section of the Terms of Use. The default policy is a 14-day refund window measured from the date of original purchase.
13. Miscellaneous
- Governing law. This EULA is governed by the laws of the State of [STATE] in the United States, without regard to conflict-of- laws rules.
- Entire agreement. This EULA, the Terms of Use, and the Privacy Policy are the entire agreement between you and Lucin Solutions regarding the Software, and supersede any prior or contemporaneous agreements.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Failure to enforce any provision is not a waiver of any provision.
- Assignment. You may not assign this EULA without our consent. We may assign it to an affiliate or successor.
- Notice. We send notices via the app or via the email address associated with your Lemon Squeezy purchase. You can reach us at support@lucinsolutions.com.
